" The Role of the Board of Directors in Implementing Governance in Yemeni Banks :A Field Study in Yemeni Private Banks"

  This study aimed to identify the role of the Board of Directors, in its dimensions (supervisory commitment, oversight commitment, ethical commitment), in implementing governance in Yemeni banks, and to examine the level of application of governance principles, in its dimensions (transparency, accountability, fairness, responsibility), in Yemeni private banks. The study adopted a descriptive-analytical approach and used a questionnaire to collect data from a sample of 443 administrative and supervisory leaders in Yemeni private banks. Data were analyzed using SPSS. The study found that the Board of Directors in the banks under study adheres to its role in implementing bank governance at a high level, reaching 81%. It also revealed a statistically significant role of the Board of Directors in applying governance principles, as the Board explained 45.7% of the variance in the implementation of governance principles in the banks under study. The study recommended that the Central Bank update the Banks’ Governance Guide according to the latest international principles and best practices in governance. It also recommended enhancing the Boards of Directors in Yemeni banks to effectively apply governance principles by developing a comprehensive framework that includes clear policies and procedures to promote transparency, accountability, fairness, and responsibility at all organizational levels.
